Severability
✔ If any provision of this Agreement is found to be unenforceable or invalid, that provision will be modified and interpreted to best accomplish the objectives of the original provision to the fullest extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
✔ This Agreement—together with the Privacy Policy and any other legal notices published by SunVedic EcoEnergies—constitutes the entire agreement between you and SunVedic EcoEnergies concerning your use of the Services.
✔ If any term or part of this Agreement is deemed invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining terms, which will continue in full force and effect.
✔ No waiver of any term of this Agreement shall be considered a continuing waiver of such term or any other term.
✔ SunVedic EcoEnergies’ failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
Limitation on Claims: YOU AND SUNVEDIC ECOENERGIES AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST BEGIN WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
Waiver
Except as expressly provided herein, the failure to exercise a right or to require the performance of an obligation under this Agreement shall not affect a party’s ability to exercise such right or require such performance at any time thereafter. Additionally, a waiver of any breach shall not constitute a waiver of any subsequent breach.
✔ No failure or delay by either party in exercising any right or power under this Agreement shall operate as a waiver of that right or power.
✔ No single or partial exercise of any right or power shall preclude the further exercise of that or any other right granted herein.
✔ In the event of any conflict between the terms of this Agreement and any applicable purchase or other terms, the terms of this Agreement shall prevail.
Amendments to this Agreement
SunVedic EcoEnergies reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is deemed material, we will provide notice at least 30 days prior to the new terms taking effect. What constitutes a material change will be determined solely by SunVedic EcoEnergies.
✔ By continuing to access or use our website or services after any revisions become effective, you agree to be bound by the updated Terms & Conditions.
✔ If you do not agree to the new terms, you must discontinue use of SunVedic EcoEnergies services immediately.

Notice of Dispute
In the event of a dispute, you or SunVedic EcoEnergies must first provide the other party with a Notice of Dispute. This Notice must be a written statement that includes:

✔ A description of the facts giving rise to the dispute, and
✔ The specific relief or remedy requested.

SunVedic EcoEnergies will send any Notice of Dispute to you via mail at your last known address (if available) or otherwise to your registered email address.
Upon receipt of a Notice of Dispute, both parties agree to attempt to resolve the matter informally through good-faith negotiation. This informal resolution period shall last for sixty (60) days from the date the Notice of Dispute is sent.
If the dispute is not resolved within this 60-day period, either party may choose to proceed with formal arbitration or other legal action, as permitted under this Agreement.
Submissions and Privacy
By submitting or posting any ideas, creative suggestions, designs, photographs, information, advertisements, data, or proposals — including but not limited to ideas for new or improved products, services, features, technologies, or promotions — you acknowledge and agree that:
✔ Such submissions will be deemed non-confidential and non-proprietary, regardless of any contrary statements made by you.
✔ All rights, title, and interest in such submissions shall automatically become the sole and exclusive property of SunVedic EcoEnergies, without any obligation of compensation, credit, or acknowledgment to you.
✔ SunVedic EcoEnergies and its affiliates shall have no obligations whatsoever with respect to such submissions and may use them for any purpose, including but not limited to:

✔ Marketing, or
✔ Commercially exploiting products and services based on such submissions,
in any medium, now known or hereafter devised, in perpetuity.
You hereby waive any moral rights or other rights you may have in any such submissions.
Promotions
From time to time, SunVedic EcoEnergies may offer contests, promotions, sweepstakes, or other similar activities (“Promotions”) that may require you to submit personal information or other materials. Please note the following:
✔ Promotions may be governed by separate rules, which may include eligibility requirements such as age, geographic location, or other criteria.
✔ It is your sole responsibility to carefully review and determine your eligibility before participating in any Promotion.

Typographical Errors
In the event that a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, pricing error, or other inaccuracy, SunVedic EcoEnergies reserves the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price, whether or not the order has been confirmed and payment has been processed.
If your payment method has already been charged and your order is subsequently canceled, we will promptly issue a full refund or credit to your original payment account in the amount of the charge.
We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.
